Terms of Service

1. Acceptance of Terms

By accessing or using ParrotPadMD ("Service"), provided by Problem Solver Software LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ParrotPadMD is a voice-to-text transcription service delivered as a browser extension. The Service converts spoken audio into text and inserts it at the cursor position in web applications.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Subscription and Payment

5.1 Free Tier

The free tier includes 15 minutes of transcription per month with limited features.

5.2 Paid Subscriptions

Paid subscriptions are billed monthly or annually in advance. Prices are subject to change with 30 days notice.

5.3 Credit Packs

Credit packs are one-time purchases that never expire. Credits are non-refundable once used.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

5.5 Refund Policy

We offer refunds within 14 days of initial purchase for unused subscriptions. Contact support@parrotpadmd.com for refund requests.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile the Service
• Use the Service to transmit malware or harmful code
• Resell or redistribute the Service without authorization

7. HIPAA and Healthcare Use

7.1 Business Associate Agreement

If you are a Covered Entity under HIPAA, you must accept our Business Associate Agreement before using the Service with Protected Health Information.

7.2 Your Responsibilities

You are responsible for:

• Obtaining necessary patient consents
• Complying with applicable healthcare regulations
• Properly configuring your systems for HIPAA compliance
• Training your staff on appropriate use

7.3 Disclaimer

The Service is a transcription tool, not a medical device. You are responsible for reviewing and verifying all transcribed content before clinical use.

8. Intellectual Property

The Service, including all software, designs, and content, is owned by Problem Solver Software LLC and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service for its intended purpose.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROBLEM SOLVER SOFTWARE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Problem Solver Software LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

13. Modifications to Terms

We may revise these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

15. Governing Law

These Terms shall be governed by the laws of the State of Georgia, without regard to its conflict of laws provisions. Any disputes shall be resolved in the state or federal courts located in Georgia.
